The Receivership Process

The goal of hotel receivership is to secure and stabilize a hotel to protect the value of the asset. This is accomplished by making management and other necessary physical and operational changes to enhance the hotel's profitability and cash flow, thereby increasing the property's value. The receiver is not an agent for the lender; it is an intermediate third party hired to protect the property and has a duty to both the lender and the borrower.

When is Receivership a good option?

A receiver is a valuable tool for a lender or special servicer when time is of the essence and the value of the collateral is at risk as a result of not acting quickly. Some lenders believe that this potential damage to the collateral needs to be physical and must be able to demonstrate willful misconduct of the borrower. This is not the case in most jurisdictions and simply illustrating that as an income producing property, any dip in revenue, as a result of borrower indifference, can have a material effect on the value. Additionally, the complexity that is inherent in the Franchise Law and Liquor License Law often illuminates the need for the court to act quickly to preserve both of those elements. An absentee borrower, even for a short period of time, can dramatically damage the income stream of the hotel.

John Bailey

Senior Vice President, Prism Lender Services

John Bailey, Senior Vice President, Prism Lender Services, serves as the court appointed receiver or as the officer representative of the court appointed receiver for all receivership engagements.

John has served as court appointed receiver for over 19 years in both state a federal court, and also has served as Chief Restructuring Officer for a high profile bankruptcy, handling over 295 receiverships.

Prior to Prism’s acquisition by Aimbridge in December 2021, John was a partner and was Prism’s CFO and lead the financial management functions of Prism’s management and investment business, including risk management, legal, receivership administration, and was an integral part of the business development team for 18 years.

John began his hospitality career in 1989 with the predecessor to Bristol Hotels & Resorts; the Dallas based Harvey Hotel Company, as Director of Finance when the company had 8 hotels. During John’s tenure, John advanced to Vice President/Corporate Controller and Chief Accounting Officer at Bristol and the company grew to a public company traded on the NYSE, with 130 hotels, and with over $1.0 billion in revenue, and the largest owner/operator of full service hotels in North America, and the largest franchisee of the Holiday Inn and Crown Plaza brands.

Prior to joining Prism, John also served as the Senior Vice President/Chief Financial Officer for HQ Global Workplaces, Inc., John led the post-merger integration of and managed the finance and accounting functions of the two largest executive office suite operators in the US and developed a new corporate finance and accounting team in Dallas which handled the finance function for 420 office locations in 19 countries.

Immediately prior to joining Prism, John served as Senior Vice President/Chief Accounting Officer for ClubCorp, Inc. and was responsible for the accounting, financial planning and analysis, and human resources functions for the world’s largest owner/operator of private golf and business clubs, with over 170 locations in the US and abroad. John was also a senior auditor at the big eight accounting firm of Ernst & Whinney serving clients in the real estate, defense contracting and health care industries.

John is a 1979 graduate of Texas Tech University with a BBA in Accounting and was inducted as a Certified Public Accountant in 1981.
